BALLOT & PROXY STATEMENT

FOSTER CITY CHAMBER OF COMMERCE

This Ballot & Proxy Statement is furnished in connection with the solicitation of proxies by the Board of Directors of the Foster City Chamber of Commerce (the “Chamber”) for use at the Annual Meeting of members to be held on Monday, April 21st, 2025 from 12:00pm to 1:30pm at 711 Thayer Ln (Erik’s Deli Café), Foster City, CA 94404 , for the purposes set forth in the accompanying Notice of Annual Meeting of Members.

  1. Voting Rights
  2. Members at the close of business on April 21st, 2025, are entitled to vote at the meeting. The determination of members entitled to vote at the meeting was made on the basis of the Chamber’s records as of the record date. Each member is entitled to one vote.
  3. Voting of Proxies
  4. The memberships represented by all properly executed ballots & proxies received in time for the meeting will be voted in accordance with the members’ choices specified therein; except that where no choices have been specified, the membership will be voted for the election to the Board of all nominees named in the Notice of April Meeting of Members.
  5. The Board knows of no matters to be brought before the meeting other than those indicated in this Ballot & Proxy Statement. If, however, any other matters of which the Board is not now aware are properly presented for action, it is the intention of the proxy holders named in the enclosed form of proxy to vote such proxy on such matters in accordance with their best business judgment.
  6. If you choose to vote by proxy, please use the online voting link to cast your vote which will be sent to your email address with subject line: “Ballot & Proxy Solicited on Behalf of the Board of Directors”.
  7. Revocability of Proxy
  8. The delivery of an executed proxy does not preclude the member delivering the proxy from voting in person or changing the proxy should the member so desire. The proxy may be revoked by a written directive to the Chamber or by another proxy subsequently executed and presented at the meeting at any time prior to the actual voting or by attendance and voting at the meeting.


Proposal 1: ELECTION OF DIRECTORS

There are open seats to be filled on the Board for a two (2) year term commencing on May 1, 2024. It is the member's intention to vote for all of the nominees named below.

 Nominees for Directors. The nominees for directors are set forth below:

The Board does not anticipate that any of the above nominees will be unable to serve as a director, but if that should occur before the meeting, the proxy holders reserve the right to substitute as nominee and vote for another person of their choice in the place and stead of any nominee unable so to serve.

Per the Bylaws, Article II, Section 12, the vote of a minimum of at least FIVE percent (5%) of voting members is required. Five percent of voting members is 4 members.
